Because I receive plenty of questions and requests on this recently I decided to post it here for everyone to have clarity on company formation in Armenia. Follow these steps.

  1. Choose the type of company you want - the two most popular types are LLC and CJSC. For a small business an LLC is easier to manage, because CJSCs require separate registration of shares with an operator and payment of relevant fees. Read more here.
  2. Appoint the director - it can be the founder or someone else. If you are the director you can take decision to appoint yourself as the director.
  3. Choose your legal address - your company should have a physical (legal) address mentioned in its charter. If you do not have an address in Armenia there are companies that will provide this service to you.
  4. Prepare the founding documents - you will need to prepare the charter and your founding decision and submit it to the State Registry of Legal Entities along with your notarized and translated passport (if you are a foreigner). There are no state duties in Armenia for company formation and companies are usually formed within 1–2 business days.
  5. Open a bank account - after registering your company you will need to open a business bank account in one of 10+ banks in Armenia. Some banks are easer to deal with whereas others will require lots of documents and KYC. It’s always recommended to open the bank account in person as the director and not provide a power of attorney to a lawyer to do this for you as banks usually reject these applications.
  6. Choose the appropriate tax regime - there are 2 popular types of tax regimes in Armenia - turnover tax and general tax regimes. Turnover tax can range from 1–10% on turnover depending on type of activity and general tax regime is set at 18% at time of writing (+ VAT on goods/services at 20%). You can read more here.

  8. Obtaining residency through company formation - when you register a company in Armenia it gives you the right to apply for Armenian temporary and permanent residency programs. You can read about these programs here.
  9. Hire an accounting firm - while some accounting firms can offer to do your accounting for dirt cheap I strongly advice to refrain from those as they end up costing you more. Tax authorities in Armenia are extremely strict so don’t go cheap on accounting and hire a trusted firm.
